2. Scope

These Terms apply to:

• Use of our website;
• Purchases made through our website;
• Purchases made through quote, phone, email, invoice, or purchase order;
• Rentals arranged through our website, email, invoice, or rental agreement; and
• Any related services provided by CNTautomation.

If a separate written agreement applies to a specific transaction, that agreement will govern to the extent of any inconsistency.

3. Website Use

You agree to use this website only for lawful purposes. You may not:

• Use the website in any way that violates applicable law;
• Interfere with website operation or security;
• Attempt unauthorized access to our systems;
• Use bots, scrapers, crawlers, or similar tools to extract content, pricing, listings, or data without our written permission;
• Copy, reproduce, or commercially use website content without written consent.

We reserve the right to restrict or terminate access to the website at any time for misuse or breach of these Terms.

4. Product Listings and Product Condition

We make reasonable efforts to ensure our listings, descriptions, photos, and specifications are accurate.

For used products, the product will come exactly as shown in the product photos. It is the customer’s responsibility to carefully review all product images and descriptions before purchase.

Unless expressly stated otherwise in the product listing, quote, or invoice:

• Only the items shown in the photos are included;
• Accessories, probes, leads, chargers, modules, batteries, software, licenses, calibration certificates, manuals, cases, or packaging are included only if shown or specifically stated;
• Product photos form part of the product description.

We do not sell equipment on an “as is” basis. All products we offer for sale are sold subject to the warranty and return terms stated below.

5. Testing and Operational Condition

We test all products we offer for sale to confirm they are fully operational based on the functions and configuration available on the unit at the time of testing.

However, unless expressly stated in writing:

• Calibration is not included;
  
• Prior calibration or service history may be unknown;
• Compatibility with third-party accessories, software, systems, or special applications is not guaranteed unless specifically confirmed in writing.

If a current calibration certificate or specific compliance standard is required for your application, you must confirm that requirement with us before purchase.

6. Quotes, Orders, and Acceptance

All quotes are subject to prior sale, availability, and final approval by CNTautomation.

We reserve the right to:

• Refuse or cancel any order;
• Limit quantities;
• Correct pricing, listing, image, or specification errors;
• Request additional verification before accepting an order;
• Cancel an order if an item becomes unavailable or if payment, fraud, export, or compliance concerns arise.

An order is not binding until accepted by CNTautomation.

7. Pricing

All prices are shown in the currency indicated on the website, quote, or invoice.

Unless otherwise stated:

• Prices exclude applicable taxes, duties, brokerage, customs charges, shipping, insurance, and handling;
• Prices may change without notice;
• Pricing shown on the website may differ from pricing on other sales channels or custom quotations.

If a pricing or listing error occurs, we reserve the right to correct it and, where necessary, cancel the order and refund any payment received.

8. Payment Terms

Full payment is required in advance of shipment unless otherwise agreed in writing.

If credit terms or other payment terms are approved in writing, those terms will apply only to the specific transaction or customer account approved by CNTautomation.

We reserve the right to delay shipment until payment is received and cleared.

If payment is overdue on an approved account, we may:

• Suspend open orders;
• Cancel pending shipments;
• Revoke extended payment terms;
• Charge interest or late fees to the extent permitted by law; and
• Recover collection costs where permitted.

9. Taxes, Duties, and Import Charges

The customer is responsible for all applicable:

• GST/HST/PST/VAT;
• Sales taxes;
• Customs duties;
• Brokerage fees;
• Import charges;
• Export charges; and
• Other government-imposed fees related to the sale, shipment, import, export, or use of the goods, unless otherwise agreed in writing.

For international shipments, the customer is responsible for understanding and complying with all destination-country import rules and requirements.

10. Shipping, Delivery, and Risk of Loss

Shipping dates are estimates only and are not guaranteed unless expressly agreed in writing.

Unless otherwise stated:

• Shipping charges are additional;
• We may ship in partial shipments;
• Delivery times may vary due to carrier delays, customs clearance, weather, or events beyond our control.

Risk of loss or damage during transit will be handled in accordance with the shipping arrangement and carrier service selected for the order.

11. Returns and 30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee on products we sell, subject to the conditions below.

Return requests must be made within 30 days of delivery.

All returns require prior approval from CNTautomation. We reserve the right to request photos, testing details, serial verification, and return reason details before authorizing a return.

To qualify for a return:

• The item must be returned in the same condition in which it was delivered;
• The item must not be damaged due to misuse, improper installation, negligence, abuse, or unauthorized modification;
• All included items must be returned;
• The product must match the serial number or identifying marks of the item originally shipped.

This money-back guarantee does not apply where the issue is caused by:

• Customer misuse;
• Missing accessories that were not shown in photos or not stated as included;
• Failure to confirm compatibility before purchase;
• Damage after delivery;
• Tampering or unauthorized repair.

If a return is approved, CNTautomation will issue a refund.

12. 60-Day Warranty

All products sold by CNTautomation include a 60-day warranty unless otherwise stated in writing.

This warranty covers functional defects that arise during normal use within the warranty period and that are not caused by misuse, abuse, accidental damage, improper storage, unauthorized repair, improper installation, power issues, or neglect.

If a valid warranty claim is made during the warranty period, CNTautomation may, at its option:

• Repair the item;
• Replace the item with the same or a substantially similar item; or
• Issue a full or partial refund.

This warranty does not cover:

• Consumables;
• Cosmetic wear;
• Batteries unless specifically warranted;
• Calibration drift or calibration certification;
• Software licensing issues unless specifically included;
• Incompatibility with customer-specific systems or applications not confirmed in writing.

This warranty is the customer’s exclusive remedy to the fullest extent permitted by law.

13. Customer Responsibilities

The customer is responsible for:

• Reviewing the product photos and description carefully before purchase;
• Confirming that the product, model, options, and included accessories meet their needs;
• Confirming whether calibration, software, licensing, probes, accessories, or certifications are required for their intended use;
• Using products only in accordance with applicable manuals, training, and safety procedures.

CNTautomation is not responsible for a customer purchasing an item that does not meet an unstated application requirement.

14. Rentals

Where equipment is rented by CNTautomation, rental transactions may also be governed by a separate rental agreement. In the event of a conflict, the signed rental agreement will govern that rental transaction.

Based on CNTautomation’s rental agreement, rental terms may include the following:

• The lessee pays the agreed rental rate plus applicable tax;
• 80% of rental payments may be credited toward the purchase price if a purchase option is exercised;
• Rental payments are retained as rental fees if the item is not purchased;
• The equipment may not be transferred or sub-leased without written consent;
• Either party may terminate with 15 days’ written notice;
• The renter must return the equipment in good working order, ordinary wear and tear excepted;
• The renter assumes the risk of loss, theft, or damage during the rental term and is responsible for insuring the equipment at full replacement value;
• Payment is due on the agreed recurring schedule;
• If payment is late beyond the default period, CNTautomation may terminate the agreement, repossess the equipment, and retain payments made;
• Ontario law governs the rental agreement.

15. Non-Transferability of Rentals

Rental equipment may not be sub-leased, assigned, pledged, sold, or otherwise transferred by the customer without CNTautomation’s prior written consent. Unauthorized transfer is a breach of the rental arrangement.

16. Export Compliance

Customers must comply with all applicable Canadian, U.S., and international export, sanctions, trade, and re-export laws.

We reserve the right to refuse or cancel any order or rental that raises compliance, sanctions, export-control, or end-use concerns.

17. Intellectual Property

All website content, including text, images, logos, graphics, layouts, and branding, is owned by CNTautomation or its licensors and is protected by law.

No content may be copied, reproduced, distributed, or used commercially without our prior written permission.

18. Disclaimer Regarding Third-Party Information

Manufacturer specifications, brochures, manuals, and third-party references may be provided for convenience only. While we aim to provide accurate information, we do not guarantee the completeness or continued accuracy of third-party materials.

Customers should verify any critical specification before relying on it.

19. Limitation of Liability

To the fullest extent permitted by law, CNTautomation shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, business opportunity, data, downtime, or substitute equipment costs, arising from use of the website, any product, any rental, or any related transaction.

To the fullest extent permitted by law, CNTautomation’s total liability for any claim relating to a product, order, or rental shall not exceed the amount paid by the customer for the specific transaction giving rise to the claim.

20. Indemnity

You agree to indemnify and hold harmless CNTautomation, its officers, employees, agents, and affiliates from claims, losses, liabilities, damages, and expenses arising from:

• Your breach of these Terms;
• Your misuse of the website;
• Your misuse, resale, export, installation, or operation of any product or rental equipment; or
• Your violation of applicable law or third-party rights.

21. Governing Law

These Terms, and any dispute arising out of or related to them, shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Any dispute shall be brought before the courts of Ontario, Canada.

22. Changes to These Terms

We may update these Terms from time to time by posting a revised version on our website. The version posted on the website at the time of use or purchase will apply unless otherwise required by law.

23. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

24. Entire Agreement

These Terms, together with any quote, invoice, warranty statement, rental agreement, return policy, and other written terms provided by CNTautomation, form the entire agreement between the customer and CNTautomation unless a separate written agreement applies.
